These Terms of Use ("Terms") govern access to and use of QuantiCRUT (the "Service"), a product of Proton Prep, Inc., a Delaware corporation ("Proton Prep," "we," "us"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
QuantiCRUT is professional decision-support software. It performs quantitative analysis of charitable remainder unitrust scenarios based on inputs you supply, for use by financial, tax, and legal professionals in forming their own analyses and recommendations.
The Service is intended solely for use by licensed or credentialed professionals acting in a professional capacity. It is not designed or offered for consumer use. If you use the Service other than in a professional capacity, you do so at your own risk and remain bound by these Terms, including all disclaimers and limitations below.
The Service and all output it generates (including any report, chart, figure, or PDF) are provided for informational and analytical purposes only. They do not constitute legal, tax, accounting, investment, or financial advice, and do not constitute a recommendation to establish, or refrain from establishing, any trust or transaction.
Use of the Service does not create any attorney-client, advisory, fiduciary, or other professional relationship between you (or any client of yours) and Proton Prep or any individual associated with it.
You retain sole responsibility for any advice or recommendation you give to any client, including verifying the suitability of the Service's assumptions and outputs for your client's circumstances.
Access may require providing your name and email address. You agree to provide accurate information and to keep credentials (if any) confidential. We may modify, suspend, or discontinue the Service, or any free-access period, at any time. During any early-access or free period, the Service is offered as a preview and may change without notice.
The Service, including its methodology implementation, software, and content, is the property of Proton Prep and its licensors and is protected by intellectual-property law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service and to use reports you generate in your own professional practice, including sharing them with your clients.

Our collection and handling of information is described in the Privacy & Security page, which is incorporated into these Terms. In summary: we collect your name and email at signup; client scenario inputs (including any optional client names) are processed in memory to generate your report and are not retained.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT OUTPUTS ARE CORRECT, COMPLETE, OR SUITABLE FOR ANY PARTICULAR CLIENT OR TRANSACTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROTON PREP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations; in those jurisdictions, these limitations apply to the fullest extent permitted.
You agree to indemnify and hold harmless Proton Prep from claims, damages, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) any advice or recommendation you provide to any client, or (c) your breach of these Terms.
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Exclusive venue for any dispute lies in the state and federal courts located in San Luis Obispo County, California, and the parties consent to personal jurisdiction there.
We may update these Terms from time to time. Material changes will be indicated by an updated effective date. Continued use after changes take effect constitutes acceptance.
